The international law firm Greenberg Traurig, has announced that fund lawyers John A. Brunjes and Genna N. Garver have joined its Corporate and Securities Practice. Brunjes joins in the Boston and New York offices as shareholder and Garver in the New York office as of counsel, where they will add to the firm’s growing Private Investment Funds group. Prior to joining Greenberg Traurig, Brunjes and Garver were at Bracewell & Giuliani in its Connecticut office where Brunjes, a partner, was a member of Private Investment Funds Group, and head of the Fund Formation practice. Garver was a member of the Private Investment Funds and Corporate and Securities Groups.
Greenberg Traurig’s Private Investment Funds Group works with clients investing passive capital in private investment funds. The group also works with the sponsors and managers of those funds in the areas of fund formation and offerings, advisor compliance, and ongoing operations.
Brunjes’ practice focuses on advising managers and sponsors in hedge fund, private equity, and venture capital fund formation as well as operational and compliance issues, with particular emphasis on structuring private domestic and offshore capital pools. Brunjes also advises registered investment advisers and fund managers on state, federal, and international compliance and enforcement. On the investor side, his engagements primarily involve investment transaction review and negotiation, governance, and fiduciary liability. His investor side clients include domestic and foreign individuals (including some on the Forbes 400 and their family offices), ERISA-regulated investors, funds of funds, and other qualified purchasers and qualified institutional buyers. He has represented both Fund investors and managers in connection with high-profile civil suits, SEC, and CFTC enforcement and seizure actions.
Garver represents financial institutions in a variety of transactional and regulatory matters with a focus on investment advisers, hedge funds and other private investment funds. She advises clients on the formation of and offering of interests in domestic and offshore funds, mergers and acquisitions, securities regulation, SEC and state investment adviser registration and exemptions, the development and implementation of Investment Advisers Act compliance programs and procedures, ongoing compliance matters, mock audits and regulatory examinations. She also has counseled banking clients on complex structuring and capital issues regarding M&A, risk capital matters, affiliated transactions and securities lending transactions.
