Sidley Austin has announced that Mark Whatley and David Tang will be joining the firm later this month as partners in the hedge fund practice in its San Francisco office. Whatley and Tang have extensive experience representing hedge funds and other investment clients, and will focus on fund formation and maintenance, and investment adviser formation, regulation and compliance.
Whatley concentrates his practice on securities regulation and transactional and business counseling matters, with a particular focus on investment management and broker-dealer regulation. His practice emphasizes organizing and advising managers and sponsors of various pooled investment funds such as hedge funds, offshore investment companies and private equity funds. It also includes counseling on internal and regulatory investigations, reorganizations and a broad range of transactions.
Tang focuses his practice on securities regulation, private investment fund formation, mergers and acquisitions and public and private debt and equity offerings. Tang regularly advises clients on securities law compliance matters arising in connection with fund formation and fund investment activities, as well as on structural and economic considerations arising in connection with fund and fund management company formation. He also represents clients in negotiated transactions, including portfolio company investments, fund investor side letters and “seed” investments, investment management agreements, acquisitions and dispositions and other strategic transactions.
